Enova International Investigation

Type: Investigations

Defendant(s): Enova International, Inc.

Stock Symbol: NYSE: ENVA

Wolf Popper LLP is investigating potential claims on behalf of purchasers of Enova International, Inc. (“ENVA”) common stock (NYSE: ENVA), including whether Enova’s statements of confidence in the Grasshopper approval process were materially false or misleading.

Enova is a Chicago-based online lender providing consumer and small-business credit, using technology and data analytics to underwrite loans and manage risk. Enova has a market capitalization of approximately $4.25 billion, a public float of roughly 24 million shares, and average daily trading volume of approximately 300,000 shares. In 2025, Enova reported $1.83 billion in net revenue and $308.4 million in net income. On December 11, 2025, Enova announced that subject to regulatory approval by the Office of the Comptroller of the Currency (OCC) and the Federal Reserve it would acquire Grasshopper Bancorp, Inc. in a $369 million cash and stock deal.

During Enova’s second quarter 2026 earnings call on July 23, 2026, Chief Executive Officer Steve Cunningham said Enova remained “in a constructive dialogue with both of the agencies” and that he had “a lot of confidence in our application... and I look forward to closing later this year.”

After the market closed on September 14, 2026, Enova disclosed it had withdrawn its bank regulatory applications with the OCC and Federal Reserve related to the Grasshopper acquisition. CEO Steve Cunningham said Enova was “confident that withdrawing our applications is the best decision for Enova and our shareholders,” citing a lack of “clearly articulated standards” for nonbanks like Enova seeking a bank charter. Enova reaffirmed its third-quarter and full-year 2026 guidance in the same disclosure, indicating the decline was tied specifically to the withdrawal rather than any change in underlying business performance. On that news, Enova’s stock price fell $53.11 per share to $173.61 on September 15, 2026, down 23.4% on very heavy trading volume.
